# Terms of Service

Last updated: October 26, 2026

These Terms of Service ("Terms") govern access to and use of the Summerbase service. They form a binding agreement between Summerbase ApS, CVR [CVR], Denmark ("Summerbase", "we", "us") and the business that accepts them ("Customer", "you"). The person accepting confirms they have authority to bind that business.

## 1. Definitions

- **Service:** Summerbase hosted revenue analytics platform, including dashboards, metrics, reports, APIs and related features.
- **Customer Data:** Data you or your Integrations submit to the Service for analysis, including data about your own customers ("End Customers"). Customer Data does not include Account Data.
- **Account Data:** Information about you and your Users that we collect to provide and manage your account, such as names, email addresses, company details, billing information and support conversations. We process Account Data as a controller under our [Privacy Policy](/policies/privacy.md).
- **Shared View:** A set of reports you publish at a link that anybody with the link can open without signing in.
- **Integration:** A connection between the Service and a third-party system you use, such as Stripe, enabled by you.
- **Connected AI Client:** A third-party AI application or agent that you or your Users connect to the Service, for example through our MCP server or APIs.
- **Third-Party Credentials:** API keys, OAuth tokens or similar credentials you provide so we can access an Integration on your behalf.
- **Aggregated Data:** Data derived from Customer Data and other customers' data that does not identify you, any End Customer, or any individual.
- **Users:** Individuals you authorize to access the Service under your account.

## 2. Business use only

The Service is offered only to businesses and professionals acting in a commercial capacity. It is not offered to consumers. By accepting these Terms you confirm you are not acting as a consumer.

## 3. Accounts and Users

You are responsible for all activity under your account and for your Users' compliance with these Terms. You must keep login credentials confidential and notify us promptly at security@summerbase.com of any unauthorized access.

## 4. Integrations and Third-Party Credentials

4.1 You may connect Integrations to the Service. You are responsible for granting only the permissions the Service needs. Where an Integration supports it, we will request read-only or restricted access.

4.2 We store Third-Party Credentials encrypted and use them only to provide the Service to you. You may revoke them at any time in the Integration or in the Service.

4.3 Integrations are provided by third parties under their own terms. We are not responsible for their availability, accuracy, changes to their APIs, or their handling of your data.

4.4 You confirm you have the rights and legal basis needed to make Customer Data, including End Customer personal data, available to us through Integrations. You must not send us special categories of personal data (such as health data) or full payment card numbers.

4.5 You may connect Connected AI Clients to the Service. When you do, you decide which Customer Data they can access, and Customer Data they receive leaves our control. Connected AI Clients are provided by third parties under their own terms. They are not our sub-processors, and we are not responsible for how they process Customer Data or for their output.

4.6 Access tokens for our MCP server or APIs are tied to your account. You are responsible for keeping them secure, granting only the access needed, and revoking tokens you no longer use. Activity using your tokens is treated as activity under your account.

## 5. Hosting region

You may choose whether Customer Data is hosted in the European Union or the United States when you create your account. We will store Customer Data at rest in the region you select, except as described in the Data Processing Addendum. Changing region later may require a data migration and may be subject to additional terms.

## 6. Customer Data

6.1 You retain all rights in Customer Data. You grant us a worldwide, non-exclusive license to host, copy, process and display Customer Data only as needed to provide, secure and improve the Service.

6.2 Our processing of personal data within Customer Data is governed by the [Data Processing Addendum](/policies/dpa.md) ("DPA"), which forms part of these Terms.

6.3 We may create and use Aggregated Data to operate and improve the Service and to provide industry benchmarks. Aggregated Data will never identify you, any End Customer or any individual, and we will not attempt to re-identify it.

6.4 Shared Views are designed for sharing aggregated metrics and charts. You decide what to publish in a Shared View and are responsible for having the right to publish it, including any End Customer personal data. Anyone with the link can open it, so share it only with intended recipients. We are not responsible for access by people who obtain the link, unless caused by our breach of these Terms. You can unpublish a Shared View at any time.

## 7. Acceptable use

You will not: (a) use the Service in breach of law, including data protection law; (b) attempt to access other customers' data or bypass security measures; (c) reverse engineer the Service, except where law expressly permits; (d) resell or provide the Service to third parties without our written consent; (e) overload or disrupt the Service, including through automated access beyond documented API or MCP usage limits; or (f) upload malicious code.

## 8. Fees and payment

8.1 Fees are as stated on our [pricing page](/pricing) or in your order. Subscriptions renew automatically for the same period unless canceled before renewal.

8.2 Fees are charged in advance through our payment provider and are exclusive of VAT and other taxes. EU business customers must provide a valid VAT number for reverse-charge treatment.

8.3 Fees are non-refundable except where these Terms state otherwise. If payment is more than 14 days overdue, we may suspend the Service after giving notice.

8.4 We may change fees with at least 30 days' notice. Changes apply from your next renewal.

## 9. Metrics and no professional advice

Metrics such as MRR, churn and lifetime value depend on the data your Integrations provide and on calculation methods we document. We work to make them accurate but do not guarantee they are complete or error-free. The Service does not provide financial, accounting, tax, investment or legal advice, and you should not rely on it as a substitute for such advice.

## 10. Availability and support

We aim to keep the Service available and to give advance notice of planned maintenance where practical. Any service-level commitments apply only if agreed in writing. Support is provided through in-app chat and email.

## 11. Confidentiality

Each party will protect the other's confidential information with at least reasonable care and use it only to perform these Terms. Customer Data is your confidential information. This obligation does not cover information that is public, already known, independently developed, or required to be disclosed by law.

## 12. Intellectual property

We own the Service and all related intellectual property. If you send us feedback, we may use it without obligation to you.

## 13. Warranties and disclaimers

We warrant that the Service will perform materially as described in our documentation. If it does not, your remedy is for us to correct the issue or, if we cannot within a reasonable time, to terminate and refund prepaid fees for the remaining term. Otherwise, to the extent permitted by law, the Service is provided "as is".

## 14. Limitation of liability

14.1 Neither party is liable for indirect or consequential loss, including lost profits, revenue, goodwill or data, except as stated in 14.3.

14.2 Each party's total liability under these Terms is limited to the fees you paid in the 3 months before the event giving rise to liability.

14.3 These limits do not apply to your payment obligations, your obligations under section 15, breaches of section 7, or liability that cannot be limited under Danish law.

14.4 Subject to 14.3, if Customer Data is lost or corrupted because of our breach of these Terms, our sole obligation is to use commercially reasonable efforts to restore it from our most recent available backup.

## 15. Indemnity

You will defend and indemnify us against third-party claims arising from (a) Customer Data you submit without the necessary rights or legal basis, (b) Customer Data you publish in a Shared View without the necessary rights or legal basis, or (c) your breach of section 7.

## 16. Term, termination and data return

16.1 These Terms apply while you have an account. Either party may terminate for material breach not cured within 30 days of written notice.

16.2 You may cancel at any time in your billing settings; cancellation takes effect at the end of the current billing period.

16.3 We reserve the right to delete your Customer Data 60 days after your subscription ends, or after we end a free account that has been inactive for an extended period. We give at least 30 days' notice by email before ending an inactive free account. Until your Customer Data is deleted, you can export it or resubscribe. You can also ask us to delete your Customer Data at any time in the Service or at [support@summerbase.com](mailto:support@summerbase.com); we then delete it within 30 days. Deleted data leaves our backups as they expire, within a further 30 days, except where law requires us to keep it.

## 17. Changes to these Terms

We may update these Terms. We will notify you of material changes by email or in the Service, and they take effect when we notify you. If you object in writing within 30 days of the notice, the previous Terms continue to apply to you until the end of your current subscription period, and you may terminate at the end of that period. If you do not object within 30 days, you are deemed to have accepted the changes.

## 18. Governing law and disputes

These Terms are governed by Danish law, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. The Copenhagen City Court (Københavns Byret) has exclusive jurisdiction at first instance.

## 19. General

Neither party may assign these Terms without consent, except to a successor in a merger or sale of substantially all assets. Neither party is liable for delays caused by events beyond its reasonable control. These Terms, the DPA and any order form are the entire agreement; if they conflict, the order form prevails, then the DPA for data protection matters, then these Terms.
